Terms of Service

By creating an account or using Senexus (the "Service"), you agree to these Terms on behalf of yourself and your organization. If you do not agree, do not use the Service. These Terms form a binding agreement between your organization ("Customer") and ChalkForge LLC ("ChalkForge," "we," "us"), the company that operates Senexus.

Senexus is a meeting management, agenda, and policy platform designed for school districts and public sector governing boards. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term for your organization's internal governance purposes.

• You are responsible for all activity under your organization's account.
• You must keep credentials secure and notify us immediately of any unauthorized access.
• Each user seat is for one individual. Shared logins are not permitted.
• You are responsible for configuring roles and permissions correctly within your organization.

You own your data. We process it only to operate the Service as described in our Privacy Policy. You represent that you have the right to upload all content you provide and that doing so does not violate any law or third-party rights.

Public records: You acknowledge that as a public sector organization, your board meeting records may be subject to public records laws independent of this agreement. Senexus provides tools to help you comply, but compliance with open meetings and records laws is your responsibility.

You agree not to:

• Use the Service for any unlawful purpose
• Upload content that infringes intellectual property rights
• Attempt to gain unauthorized access to any part of the Service or another organization's data
• Use automated tools to scrape or bulk-download data
• Resell or sublicense access to the Service

Certain features use third-party AI services (currently Anthropic Claude). AI-generated content — including agenda drafts, summaries, and policy suggestions — is provided as an aid, not legal or professional advice. You are responsible for reviewing and approving all AI-generated content before use in official board proceedings.

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. We provide support via email during standard business hours.

Subscription fees are billed as described on the pricing page at senexus.app. Fees are non-refundable except where required by law. We reserve the right to suspend access for accounts with unpaid balances after reasonable notice.

Either party may terminate at the end of a billing period with notice. We may suspend or terminate your account immediately for material violation of these Terms. Upon termination, we will provide a data export window of 30 days before deleting your data.

To the maximum extent permitted by law, ChalkForge's total liability for any claim arising from these Terms or the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

The Service is provided “as is.” We disclaim all warranties, express or implied, including fitness for a particular purpose. We do not warrant that the Service will meet every requirement of your jurisdiction's open meetings law — that assessment is your responsibility.

These Terms are governed by the laws of the state in which ChalkForge LLC is incorporated, without regard to conflict of law principles.

We will notify account administrators of material changes at least 14 days in advance. Continued use after the effective date constitutes acceptance.
